A proven commercial transactional lawyer, Kimberly has over 20 years of experience in negotiating and drafting a high volume of diverse commercial contracts, including domestic and global hosting (SaaS, PasS, ASP) and on prem software, social media, data content (inbound and outbound) licensing, data protection, leases, consulting, telecom, marketing, NDAs, MSAs and professional services agreements. Prior to joining BLG, Kimberly was in-house counsel for three global financial institutions, where she was a lead lawyer responsible for critical vendor contract relationships. In those roles, she demonstrated proven experience in complex high dollar contract negotiations, compliance oversight, risk management, business transformation, and project implementation. By staying abreast of IT developments, Kimberly has acquired extensive experience in identifying and addressing emerging IT legal issues, including privacy and data protection, mobile banking, social media strategy, and cloud services. Kimberly has advised on intellectual property (IP), brand and marketing matters, on-line marketing campaigns, strategic use of global customer relationship management (CRM), social media and related tools.

In addition to deep transactional experience, Kimberly has extensive experience in M&A transactions, having negotiated asset purchase and deposit liability assumption agreements with the FDIC, and also managed corporate-wide integration projects relating to numerous bank acquisitions, divestitures, and joint ventures. Kimberly also chaired a global interdepartmental privacy taskforce, advising EU global protection (GDPA, PIPEDA), US federal privacy related laws (GLBA, FCRA, CPPA HIPPA, FTC), and a myriad of state laws and regulations, as well as data mapping, usage and governance, data breach, privacy notices, and cookie disclosures. In addition, Kimberly has supported lines of business, including the drafting and negotiation of different types of commercial customer contracts.

Kimberly earned her J.D. from Suffolk University with honors, while working full time as paralegal for Traveler’s Insurance law office. She graduated Phi Beta Kappa and Magna Cum Laude from Wheaton College, MA.
